Medidex, Inc. (“Medidex” or “we” or “us” or “our”) is committed to protecting your privacy. This privacy policy (the “Privacy Policy”) applies to the Medidex Connect mobile application (the “App”), our website located at https://medidex.chat (the “Site”), and related web portal located at https://connect.medidex.io (the “Portal”), owned and operated by Medidex (collectively the “Platform”). We have created this Privacy Policy to tell you what information the Platform collects, how we use that information, and who we will share that information with, if at all. This Privacy Policy does not address the privacy practices of any third parties that we do not own, control, or are affiliated with. Capitalized terms not defined in this Privacy Policy will have the meaning set forth in our Terms of Use. By visiting and/or using our Platform, you are agreeing to the terms of this Privacy Policy and the accompanying Terms of Use. 5. Other Information: We may collect additional information about you, your device, or your usage of the Platform, with your consent at the point of collection.

2. How We Use Personal Information 

We and our service providers utilize the collected information for various business purposes, including account administration, operating the platform and provisioning service, responding to inquiries, processing payments, improving user experience, conducting internal operations, contacting users, customization of content and advertising, compliance with legal requirements, protection of our rights, and ensuring platform safety and security.

We use Stripe for payment, analytics, and other business services. Stripe collects identifying information about the devices that connect to its services. Stripe uses this information to operate and improve the services it provides to us, including for fraud detection. 3. How We Share Personal Information

Medidex does not sell Your personal information to nonaffiliated third parties for business purposes, nor do we share information, except as permitted by law, as described in this Privacy Policy or otherwise with Your consent.

However, we may share your information with service providers, partners, advertising partners, within our organization, for public disclosures, in co-branded services, in business transfers, to protect Medidex and others, or with your consent.

4. Web Analytics and Advertising

We use third-party web analytics services and online advertising technologies (such as Google Analytics) to analyze usage data and deliver relevant ads. This helps us understand user behavior and tailor our services accordingly.

5. Your Choices About Your Personal Information

You have options to manage your personal information, including opting out of certain data collection practices and personalized advertising. Under some circumstances, You may be able to opt-out of Our continued collection or use of Your personal information, and/or seek access to or deletion of personal information that We have collected about You in the past.

Under certain circumstances, even if You opt-out, non-personal information regarding your activities on the Website and Platform, and/or information from third-party websites may be collected and used to determine the effectiveness of the advertisements. Additionally, information regarding your usage may still be collected for analytics or internal operations purposes.

Email Communications. When you receive promotional communications from us you will have the opportunity to  unsubscribe by following instructions provided in the email or by contacting us directly at privacy@themedidex.com. Regardless of your indicated email preferences, we may send you administrative emails regarding the Medidex Platform, including, for example, registration, account onboarding, password reset, notices of updates to our online Terms or Privacy Policy, and communications and updates related to questions chats you are participating in, and other information related to your Account.

Account Deletion: If you wish to delete your account please email us your request to privacy@themedidex.com from the email registered to that account. 

6. Notice to California, Virginia, Connecticut, Colorado and Utah Residents

If You are a resident of California, Virginia, Connecticut, Colorado or Utah that is visiting the Website, You may be aware that, under certain circumstances, You may be entitled to additional disclosures or to exercise different or additional privacy rights under the privacy laws of these states.  Please note that Medidex does not presently qualify as a “business” governed by the privacy laws under their very specific criteria. Accordingly, while Medidex tries to meet appropriate privacy and security standards, as a condition of Your access or use any portion of the Website, You understand and agree that the Site, Platform and Services are NOT governed by the privacy laws of California, Virginia, Connecticut, Colorado or Utah and agree to the terms set forth in this Privacy Notice.

7. Nevada Residents

If You are a Nevada consumer, You have the right to request that a company does not sell Your personal information for monetary consideration to certain other parties.  This right applies even if Your personal information is not being sold currently.  If You are a Nevada consumer and want to exercise this right, please submit your request by clicking this link and completing the contact form with your request.

8. Visiting the Platform From Outside the United States

If You are visiting the Platform from outside of the United States of America, please be aware that your information may be transferred to, stored or processed in the United States.  The data protection, privacy and other laws of the United States and other countries might not be as comprehensive as those in your country.  By using any portion of the Platforms, You understand and consent to the transfer of your information to our facilities in the United States and to those third parties with whom We share it as described in this Privacy Policy.

9. Protection and Retention of Information

We maintain via the Platform safeguards to protect your information against loss, misuse or unauthorized access, disclosure, alteration, or destruction and retain it for necessary periods as required by law. This includes employing encryption, and access controls to safeguard your data from unauthorized access or disclosure. However, no transmission of data can be guaranteed to be completely secure. It may be possible for actors not under our control to access transmissions unlawfully. Therefore, any transmission of Personal Information to us is made at your own risk.

We keep your information for the time necessary for the purposes for which it is processed. The length of time we retain information depends on the purposes for which it collected and used, as well as your choices, after which time we may delete and/or aggregate it. We may also retain and use this information as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements.

10. Third-party Links

The Platform may from time to time contain links to third party websites/services for your convenience that will navigate you away from the Platform. Links to third-party websites on our Platform are not governed by this Privacy Policy. We recommend reviewing the third-party’s privacy policies to understand how your information may be collected and used when accessing those sites as it may be different from ours.

11. Children’s Personal Information

Consistent with the Children’s Online Privacy Protection Act, we do not knowingly collect or store any Personal Information from children under the age of 16. If a parent or guardian becomes aware that his or her child under the age of 16 has provided us with information without his or her consent, he or she should contact us at privacy@themedidex.com. As required by law, we will delete such information from our files within a reasonable time. We may also delete Personal Information from our websites, as well as Chats and other information, from users we believe are under the age of 16.

12. Modifcations to This Privacy Policy

On occassion, we may revise this Policy to reflect changes in our practices regarding information collection and use. If we make a material modification to this Policy, we will notify you of such changes. You agree that we may notify you about such updates by placing a notice on the Platform. Such modifications are effective, and You agree to be bound by such modifications, when You use or otherwise access the Platform after being notified of the updates, or 30 days from the date the updates are posted to the Platform, whichever is earliest. Changes to this Policy are effective immediately for new users of the Platform upon their sign up to the platform. If you do not agree with the terms of this Policy please do not continue to use the Platform.

Additional terms may supplement this Privacy Policy in specific circumstances. If additional terms apply in a certain context, we will inform users of any such additional terms and their implications for privacy and data handling.
